These Terms & Conditions (“Terms”) govern your access to and use of the websites, software, consulting services, marketing systems, AI tools, communications tools, automation workflows, CRM services, implementation services, SMS services, email services, and related offerings provided by Nu Marketing Partners (“Nu Marketing Partners,” “we,” “us,” or “our”).

By accessing our website, submitting a form, using our platform, purchasing our services, signing a proposal, paying an invoice, agreeing to receive communications from us, or otherwise working with Nu Marketing Partners, you agree to these Terms.

If you are using our Services on behalf of a business or organization, you represent that you have authority to bind that business or organization to these Terms. You must be 18 years of age or older to engage with this site or use our Services.

1. Who We Are

Nu Marketing Partners provides marketing strategy, implementation, automation, software configuration, AI-powered communication systems, CRM setup, lead capture systems, funnel development, reputation workflows, reporting, lifecycle marketing, and related growth operations for service-oriented businesses.

We are not a law firm, accounting firm, insurance provider, employment agency, financial advisor, or licensed trade contractor. Our work is focused on marketing systems, customer communication, business development, workflow automation, and operational growth support.

2. Services We Provide

Our Services may include, but are not limited to:

Marketing strategy and consulting; Marketing Opportunity Audits and marketing system assessments; CRM setup, customization, and pipeline configuration; white-labeled software access or software resale; website, landing page, funnel, form, and calendar setup; call tracking, SMS, email, chat, and inbox configuration; AI voice agent and AI chat agent setup; knowledge base creation and AI agent training; workflow automation and lead routing; reputation management and review request campaigns; campaign planning, copywriting, creative direction, and content support; reporting dashboards and performance analysis; ongoing optimization, growth operations, and marketing support.

Specific deliverables, pricing, timelines, subscription terms, and service levels will be described in a proposal, statement of work, invoice, subscription agreement, onboarding document, or other written agreement between you and Nu Marketing Partners.

3. Customer Responsibilities

You are responsible for providing accurate, complete, and timely information needed for us to perform the Services.

This may include, but is not limited to, business details, website access, domain access, CRM access, software account access, brand assets, service area information, pricing, promotions, offers, calendar availability, staff contact information, licensing details, customer policies, legal disclosures, approved marketing claims, call recording language, SMS consent language, and privacy policy links.

You are responsible for reviewing and approving all business-specific information before it is published, launched, automated, sent, or used by an AI agent.

We are not responsible for delays, errors, compliance issues, missed opportunities, or performance issues caused by incomplete, inaccurate, delayed, or outdated information provided by you or your team.

4. Software Platform Access

Some Services may include access to a white-labeled software platform, CRM, automation system, communications tool, reporting dashboard, AI tool, or related technology platform.

You agree to use the platform only for lawful business purposes and in accordance with these Terms, any applicable third-party platform terms, and all applicable laws and regulations.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, subaccounts, users, phone numbers, messaging tools, automations, calendars, and integrations.

We may suspend or restrict access if we believe your account is being used unlawfully, abusively, fraudulently, or in a way that creates risk to Nu Marketing Partners, our technology providers, other customers, or end users.

5. Third-Party Platforms and Tools

Nu Marketing Partners may use, configure, resell, integrate with, or rely on third-party tools, including but not limited to CRM platforms, AI tools, call/SMS providers, website platforms, analytics platforms, email tools, payment processors, hosting providers, advertising platforms, and automation software.

We do not control third-party platforms and are not responsible for their outages, pricing changes, feature changes, data practices, service limitations, policy updates, carrier filtering, deliverability issues, or termination of services.

Your use of third-party tools may be subject to separate terms, privacy policies, acceptable use policies, messaging rules, AI usage rules, or billing requirements from those providers.

6. AI Tools and Automated Communications

Our Services may include AI-powered tools such as voice agents, chat agents, transcription, summarization, lead qualification, workflow automation, message drafting, call analysis, sentiment analysis, intent detection, or automated follow-up.

AI tools are not perfect. They may misunderstand callers, generate incorrect responses, fail to capture context, or require ongoing tuning.

You are responsible for reviewing AI-generated content, testing workflows before launch, monitoring performance, and approving how AI agents represent your business.

Nu Marketing Partners does not guarantee that AI tools will answer every question correctly, book every lead, prevent every missed opportunity, or replace human judgment.

AI systems should be treated as business support tools, not as legal, medical, financial, emergency, or safety-critical decision makers.

7. Call Recording, Transcription, and Consent

Some Services may include call recording, voicemail capture, AI transcription, call summaries, routing, tagging, analytics, or lead qualification.

Consent laws vary by state and jurisdiction. You are responsible for determining whether call recording, transcription, monitoring, or AI-assisted communication is legal for your business and for providing any required notices or obtaining any required consent.

Nu Marketing Partners may provide suggested disclosure language, but you are responsible for having that language reviewed, approved, implemented, and monitored for your business.

You agree not to use call recording, transcription, SMS, email, AI agents, or automation tools in any way that violates applicable law or the rights of callers, customers, employees, contractors, or prospects.

8. SMS Terms and Messaging Consent

Business Description: Nu Marketing Partners provides marketing strategy, CRM setup, lead capture systems, AI-powered communication systems, SMS and email follow-up workflows, website and funnel development, automation support, reporting dashboards, and related marketing services for service-oriented businesses.

By opting in to receive text messages from Nu Marketing Partners, you agree to receive SMS messages from Nu Marketing Partners at the mobile phone number you provide.

You may opt in to receive text messages from Nu Marketing Partners by submitting a website form, booking a consultation, completing a calendar form, using a chat form, checking an SMS consent checkbox, or otherwise providing clear consent to receive SMS messages from us.

Providing a phone number alone does not automatically create consent to receive marketing text messages. Marketing text messages will only be sent where permitted and with the appropriate consent.

The types of SMS messages you may receive from Nu Marketing Partners depend on your interaction with us and the consent you provide.

A. Non-Marketing SMS Messages

If you consent to receive non-marketing SMS messages, you may receive texts related to:

Consent to receive marketing SMS messages is not a condition of purchase.

9. SMS Opt-Out Instructions

You can cancel SMS communications at any time.

To stop receiving SMS messages from Nu Marketing Partners, reply STOP to any SMS message you receive from us.

After you send STOP, we may send one final SMS message confirming that you have been unsubscribed. After that, you will no longer receive SMS messages from us unless you opt in again.

If you want to receive SMS messages again, you may sign up again through our website, form, calendar, chat, or another approved opt-in method.

If you are experiencing issues with the messaging program, reply HELP to any SMS message you receive from us for assistance.

11. SMS Message Frequency

Message frequency may vary based on your interaction with Nu Marketing Partners, your appointment activity, onboarding progress, support needs, service status, account activity, or marketing preferences.

12. SMS Fees and Carrier Disclaimer

Message and data rates may apply for any messages sent to you from Nu Marketing Partners and to Nu Marketing Partners from you.

If you have questions about your text plan or data plan, please contact your wireless provider.

Carriers are not liable for delayed or undelivered messages.

13. SMS Eligibility and Number Authorization

You represent that the mobile number you provide belongs to you or that you are authorized to provide it and consent to receive SMS communications at that number.

You agree not to provide a phone number for which you do not have authority to consent to SMS communications.

If your mobile number changes or is no longer under your control, you agree to notify us or opt out.

14. SMS Privacy and Mobile Data

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.

Information sharing to subcontractors in support services, such as customer service, platform administration, message delivery, technical support, or compliance support, is permitted only as necessary to provide and support the Services.

All other use case categories exclude text messaging originator opt-in data and consent. This information will not be shared with any third parties.

Nu Marketing Partners does not sell, rent, trade, lease, disclose, transfer, distribute, or share SMS opt-in consent, text messaging originator data, SMS consent records, or mobile phone numbers with third parties, affiliates, lead generators, data brokers, or marketing partners for marketing or promotional purposes.

15. SMS Program Suspension

We may suspend or terminate SMS communications if we believe messaging activity creates legal, carrier, deliverability, platform, reputational, security, or compliance risk.

We may also suspend or terminate SMS communications if required by applicable law, carrier requirements, platform rules, or third-party provider policies.

16. Email and Marketing Compliance

If you use our Services to send emails, review requests, confirmations, appointment reminders, promotional offers, reactivation campaigns, or other communications, you are responsible for complying with all applicable laws and platform rules.

This includes, where applicable, obtaining proper consent, honoring opt-outs, avoiding spam or deceptive messaging, using accurate sender information, maintaining proper records, complying with email and platform requirements, and ensuring marketing claims are truthful and substantiated.

You agree not to upload, purchase, scrape, or message contacts unless you have the legal right to do so.

Nu Marketing Partners may suspend messaging workflows if we believe they create legal, deliverability, carrier, reputational, or platform risk.

17. Customer Content and Approvals

You retain ownership of business information, logos, images, customer lists, service descriptions, pricing, offers, testimonials, and other content you provide to us.

You grant Nu Marketing Partners permission to use that content as needed to perform the Services.

You represent that you have the right to provide and use all content, data, images, testimonials, reviews, trademarks, customer information, and materials supplied to us.

You are responsible for approving final content before launch. Once approved, you are responsible for the accuracy of claims, offers, prices, service descriptions, licensing statements, guarantees, discounts, and legal disclosures.

18. Nu Marketing Partners Work Product

Unless otherwise stated in a signed agreement, Nu Marketing Partners retains ownership of its pre-existing materials, strategy frameworks, templates, workflows, copy structures, automation logic, training materials, AI prompts, implementation methods, documentation, internal tools, and proprietary processes.

Upon full payment, you may use the final approved deliverables created specifically for your business for your own business purposes.

You may not resell, copy, distribute, license, reverse engineer, or reuse our proprietary systems, templates, frameworks, AI agent structures, workflow logic, or implementation methods outside your own business without written permission.

19. Fees, Billing, and Payment

Fees may include setup fees, implementation fees, monthly retainers, subscription fees, software fees, usage-based fees, AI agent fees, messaging fees, call charges, premium support fees, consulting fees, advertising management fees, or other agreed charges.

Payment terms will be stated in your proposal, invoice, subscription agreement, or statement of work.

Unless otherwise stated in writing, setup and implementation fees are due before work begins, monthly retainers and software subscriptions are billed in advance, and usage-based charges may be billed separately or in arrears.

Late payments may result in paused work, suspended access, or delayed launch.

Fees are non-refundable once work has begun or access has been provided.

You are responsible for any applicable taxes, platform fees, messaging fees, ad spend, domain fees, hosting fees, third-party software fees, and payment processing fees unless otherwise stated.

20. Subscription Terms and Cancellation

Some Services are provided on a recurring subscription or monthly retainer basis.

Unless a different term is stated in writing, subscriptions renew monthly until canceled.

Cancellation requests must be submitted in writing to Nu Marketing Partners. Cancellation does not relieve you of responsibility for amounts already due, work already performed, or active subscription periods already billed.

If your account uses third-party software, phone numbers, messaging tools, domains, AI tools, or integrations, cancellation may require additional transition steps.

We are not responsible for loss of access, data, phone numbers, workflows, automations, or content if third-party services are canceled, unpaid, suspended, or transferred.

21. No Guaranteed Results

Nu Marketing Partners works to improve marketing systems, lead capture, follow-up, automation, visibility, customer communication, and revenue operations.

However, we do not guarantee specific business results, revenue increases, rankings, lead volume, conversion rates, booked appointments, customer acquisition costs, ad performance, review volume, or profitability.

Marketing performance depends on many factors outside our control, including your offer, pricing, competition, sales follow-up, reputation, staffing, market demand, budget, service quality, customer experience, ad spend, website traffic, and operational execution.

Any examples, projections, estimates, case studies, or performance targets are illustrative only and are not guarantees.

22. Advertising and Campaign Management

If we assist with advertising, you are responsible for approving budgets, offers, targeting, landing pages, claims, and campaign direction.

Ad platforms may reject, restrict, suspend, or modify campaigns at their discretion. We are not responsible for ad platform decisions, changes in cost, changes in performance, disapprovals, account suspensions, billing issues, or policy changes.

Unless otherwise agreed in writing, ad spend is separate from Nu Marketing Partners service fees.

23. Confidentiality

Both parties may receive confidential business, technical, marketing, customer, financial, operational, or strategic information.

Each party agrees to use reasonable care to protect confidential information and not disclose it except as needed to perform the Services, comply with law, work with authorized vendors, or as otherwise permitted in writing.

Confidentiality obligations do not apply to information that is publicly available, already known, independently developed, or lawfully received from another source.

24. Data Security

We use reasonable administrative, technical, and organizational safeguards to protect information processed through our Services.

However, no system is perfectly secure. You acknowledge that use of websites, software, AI tools, messaging platforms, integrations, and cloud-based services involves risk.

You are responsible for managing user access, passwords, permissions, internal security practices, and employee or contractor use of your account.

25. Acceptable Use

You agree not to use the Services to:

Violate any law or regulation
Send spam, unlawful marketing, or deceptive messages
Send messages without required consent
Harass, threaten, defame, or discriminate
Collect or process data unlawfully
Upload malicious code or interfere with platform security
Misrepresent your identity, services, licenses, pricing, or offers
Infringe intellectual property rights
Use AI tools for unlawful, emergency, medical, legal, financial, or safety-critical decisions
Attempt to reverse engineer, copy, or resell our systems without permission
Damage the reputation, infrastructure, deliverability, or legal standing of Nu Marketing Partners or its vendors

We may suspend or terminate Services if we believe you have violated this section.

26. Service Availability

We aim to provide reliable Services, but we do not guarantee uninterrupted access.

Services may be affected by maintenance, outages, third-party platform issues, software bugs, carrier delays, internet failures, AI tool limitations, payment issues, integration errors, SMS carrier delays, message filtering, failed message delivery, or circumstances outside our control.

We are not liable for downtime, delays, lost leads, missed calls, failed messages, delayed messages, blocked messages, undelivered communications, failed automations, data loss, or business interruption caused by third-party platforms, customer-side issues, carriers, wireless providers, or events outside our reasonable control.

27. Termination

Either party may terminate Services according to the applicable proposal, subscription agreement, or written service terms.

We may suspend or terminate Services immediately if you fail to pay amounts due, misuse the Services, violate these Terms, create legal, security, platform, reputational, or operational risk, or if a third-party platform suspends or restricts required services.

Upon termination, your access to software, workflows, phone numbers, AI agents, automations, reporting, and other systems may be disabled unless otherwise agreed in writing.

28. Limitation of Liability

To the fullest extent permitted by law, Nu Marketing Partners will not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost revenue, lost leads, lost business opportunities, lost data, reputational harm, business interruption, platform downtime, failed messages, delayed messages, blocked messages, or undelivered communications.

To the fullest extent permitted by law, our total liability for any claim related to the Services will not exceed the amount you paid to Nu Marketing Partners for the specific Service giving rise to the claim during the three months before the claim arose.

Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.

29. Indemnification

You agree to indemnify and hold harmless Nu Marketing Partners, its owners, contractors, employees, vendors, and partners from claims, damages, liabilities, costs, and expenses arising from your business operations, products or services, content, claims, offers, advertising, customer communications, use of call recording, SMS, email, AI tools, or automation, failure to obtain required consent, violation of law, breach of these Terms, misuse of third-party platforms, or information and materials you provide to us.

30. Disclaimers

The Services are provided “as is” and “as available.”

Nu Marketing Partners disclaims all warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, accuracy, deliverability, message completion, or results.

We do not warrant that the Services will be error-free, uninterrupted, secure, compliant for your specific business, or suitable for every use case.

31. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Any disputes will be handled in the state or federal courts located in California, unless otherwise required by applicable law or agreed in writing.

32. Changes to These Terms

We may update these Terms from time to time. The “Last Updated” date will reflect the latest version.

Continued use of the Services after changes are posted or provided means you accept the updated Terms.
